problem installing upgrade to 1.5.3

I upgraded from 1.3.x to 1.4.1 and all went well, and then upgraded to 1.5.3
while running upgrade.php for 4.5.3, I got the following errors;

Warning: fopen(/www/mydomain/yabbse/Settings.php) [function.fopen]: failed to create stream: Permission denied in /home/www/mydomain/yabbse/upgrade.php on line 441

Warning: fputs(): supplied argument is not a valid stream resource in /home/www/mydomain/yabbse/upgrade.php on line 442

Warning: fclose(): supplied argument is not a valid stream resource in /home/www/mydomain/yabbse/upgrade.php on line 443

done.

(I have changed my actual domain name to "mydomain" above. I don't want anybody hitting it until I'm done.)

What do these errors mean, what problems will / can they cause and how can I resolve this?
Everything seams to be working, but I don't really know what's not.

All help is VERY appreciated

1.4.1 to 1.5.1 final to 1.5.2 to 1.5.3.  Needs to be done in that order.

Also, chmod Settings.php to 777 for the upgrade.

I untared the 1.5.3 upgrade into my yabb forum, I chmod Settings.php to 777 ...
Here is the error I get when I go on www.myforum.com/upgrade.php :
